I agree that defining "bribery" in many instances is difficult. Because of this, many voices in this current FCPA reform debate are talking past each other.

For additional reading, please consider visiting the following links.

http://fcpaprofessor.blogspot.com/2010/12/lots-of-talk-but-what-is-it.html

http://www2.americanbar.org/sections/criminaljustice/CR121212/Pages/koehler.aspx

http://fcpaprofessor.blogspot.com/2010/11/in-words-of-theodore-sorensen.html

It is disturbing, to say the least, to read Conyers' statement that companies don't "deserve to know" the boundaries of the law. It is disingenuous to pretend that is always possible to define a "bribe." What about meals and hospitality? Why is it so hard to give companies some clear direction on this, without putting them and their employees in constant fear that they may be unwittingly violating the law? This is like ticketing for speeding when there is no speed limit set--except of course getting hit with this "ticket" can ruin careers and a company's reputation. Companies and their compliance officers are desperate for some direction - I hope twisted logic like Conyers' does not prevail.
